1. Agreement and Acceptance

These Terms of Service ("Terms") form a binding legal agreement between Ultrasmart Solutions and the organization or individual using Ultrasmart Digital Invoicing ERP (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Scope of Service

The Service provides cloud features for digital invoicing, accounting workflows, customer and supplier management, reporting, printable/exportable business documents, and optional integrations or compliance-related modules (including FBR-related flows where enabled).

We may add, remove, or modify features from time to time. Feature availability can vary by subscription plan, client settings, and operational requirements.

3. User Accounts and Security

• Each user account is associated with a client organization.
• You are responsible for maintaining password confidentiality and access control.
• You must promptly notify us of unauthorized use or suspected account compromise.
• You are responsible for all actions performed under your account credentials.

4. Client Data, Ownership, and License

You retain ownership of your business records and data entered into the Service. You grant us a limited license to host, process, transmit, back up, and display that data solely to operate, secure, and improve the Service.

You are responsible for ensuring that your data is accurate, lawfully collected, and permitted to be processed through the Service.

5. Tenant Isolation and Access Boundaries

The Service is designed with client-level separation so users can access only records belonging to their own organization, based on assigned account access and application rules.

You agree not to attempt to bypass authorization controls or access data outside your permitted tenant scope.

6. Compliance, Tax, and FBR-Related Responsibilities

The Service may support FBR-related invoicing and submission workflows. You remain fully responsible for legal classification, tax treatment, invoice correctness, and regulatory compliance of all submitted information.

The Service does not provide legal, tax, or accounting advisory services. You should consult qualified professionals for compliance decisions.

7. Subscription, Billing, and Plan Limits

Access to paid features depends on an active subscription. Subscription plans may impose usage thresholds (for example, invoice volume or feature caps). If limits are reached or subscription status lapses, access to parts of the Service may be restricted or suspended.

Fees, renewals, and billing timing are governed by your selected plan terms or separate commercial agreement.

8. Acceptable Use

• No unauthorized access attempts, reverse engineering, or security probing.
• No malicious uploads, malware distribution, or fraudulent or unlawful content.
• No activity that degrades service performance or availability for other users.
• No misuse of exports, reports, or integrations in violation of applicable laws.

9. Third-Party Services and Dependencies

Certain functionality may depend on third-party providers or APIs (for example, infrastructure, messaging, payment, regulatory endpoints, or document libraries).

We are not responsible for outages, data delays, or behavior caused by third-party systems outside our direct control.

10. Service Availability and Maintenance

We strive for reliable service availability but do not guarantee uninterrupted operation. Planned maintenance, security updates, infrastructure incidents, or external disruptions may result in temporary downtime or degraded performance.

11. Intellectual Property

All rights, title, and interest in the Service software, interface, trademarks, and platform content (excluding your data) remain with Ultrasmart Solutions and its licensors. These Terms do not transfer ownership of the Service itself.

12. Warranties Disclaimer

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the extent permitted by law, Ultrasmart Solutions shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, or data arising from use of or inability to use the Service.

You acknowledge that incorrect input data, user configuration decisions, or delayed third-party regulatory responses may affect outcomes, and such risks remain your responsibility.

14. Indemnification

You agree to indemnify and hold harmless Ultrasmart Solutions from claims, damages, losses, liabilities, and costs arising from your misuse of the Service, violation of these Terms, or unlawful/inaccurate content or filings submitted through your account.

15. Suspension and Termination

We may suspend or terminate access for non-payment, policy violations, suspected fraud, security threats, or legal/regulatory requirements. You may discontinue use at any time, subject to billing obligations and applicable plan commitments.

Provisions by nature intended to survive (including liability, indemnity, and ownership) remain effective after termination.

16. Governing Law and Dispute Venue

These Terms are governed by the laws of Pakistan. Any dispute arising from or relating to these Terms or the Service shall be subject to the competent courts of Islamabad, Pakistan, unless otherwise required by applicable law.
